TORs: Framework Agreement for Legal Services Firm

CARE International is one of the world’s largest humanitarian and development organizations, working in over 95 countries to fight poverty and social injustice. Since 2005, CARE Pakistan has been responding to humanitarian crises and implementing development programs in health, education, governance, and economic empowerment in collaboration with local partners.

Objective

CARE Pakistan seeks to engage a law firm / legal expert under a three-year Framework Agreement to provide comprehensive legal advisory and representation services. The selected firm/expert will support CARE Pakistan in litigation, contracts, corporate compliance, HR policy reviews, and representation before government authorities, tribunals, and courts at all levels in Pakistan.

Scope of Work (Indicative)

• Representation before Magistrate, Civil, Labor, Tribunals, Sessions, High Courts (and Supreme Court if required).
• Drafting, vetting, negotiation, and review of contracts/agreements, HR policies, and compliance documents.
• Preparation of legal notices, replies, and advisory opinions.
• Representation before tax, labor, and regulatory authorities.
• Support in corporate, compliance, property, labor, and dispute resolution matters.
• Urgent/after-hours legal support when required.

Interested legal experts/firms should submit their proposals by 11:59 PM, September 10, 2025 via email to pak.procurement@care.org with the subject line:

Note

• All costs must be quoted in PKR, inclusive of all taxes and related expenses.
• CARE reserves the right to accept or reject any proposal and may award to more than one firm if deemed necessary.

Applicants must provide documentary evidence for:

• Valid license to practice law in Pakistan (Bar Council / SECP for firms).
• Active Taxpayer (ATL) status.
• Minimum 5 years of relevant legal practice.
• Functional office in Islamabad.
• Affidavit (Rs. 100 stamp paper, not older than 3 months) confirming not blacklisted/bankrupt.
• Signed Conflict of Interest Declaration.
• Submission of Annex A (Price Schedule) with financial proposal (all-inclusive in PKR).

Evaluation

• Technical (70%) – Relevant experience, similar assignments with INGOs, team qualifications, methodology, availability, successful track record.
• Financial (30%) – Based on Annex A (Price Schedule).
• Final selection = Technical + Financial scoring.
